1. Scope of Services
Naro Facility Management LLC ("Naro") provides integrated facility management services, including security guarding, cleaning and housekeeping, MEP maintenance, pest control, landscaping, and manpower deployment across the United Arab Emirates. All service delivery is governed by a executed Service Agreement detailing property boundaries, staff deployment levels, schedules, and specific Key Performance Indicators (KPIs).
2. Directly Employed Workforce & Supervision
All personnel assigned to client properties are directly employed on Naro’s payroll, trained in accordance with UAE labor regulations, and supervised by Naro site management. Naro maintains full responsibility for employee visas, health insurance, transportation, housing, and statutory benefits.
3. Client Responsibilities & Site Access
To ensure safe and uninterrupted service delivery, the Client agrees to:
- Provide Naro personnel with safe and timely access to designated property areas, control rooms, plant areas, and utility meters.
- Supply accurate site documentation, asset registers, and existing maintenance history prior to service commencement.
- Ensure electrical, water, and utility connections required for maintenance and housekeeping machinery are available on site.
4. Statutory Compliance & Health & Safety
Naro conducts all operations in accordance with applicable UAE laws and municipal regulations. Security services operate under SIRA licensing guidelines; pest control services use Dubai Municipality approved chemicals; MEP maintenance complies with DEWA and Civil Defence requirements. Both Naro and the Client agree to maintain a safe working environment under ISO 45001 standards.
5. Payment Terms & Invoicing
Invoices are issued monthly in advance or arrears as stipulated in the Service Agreement. All payments are due within thirty (30) days of invoice date unless otherwise agreed in writing. Rates are exclusive of UAE Value Added Tax (VAT), which will be levied at the standard rate of 5% in accordance with UAE Federal Tax Authority regulations.
6. Limitation of Liability
Naro maintains Comprehensive General Liability insurance coverage. Except in cases of proven gross negligence or willful misconduct, Naro’s total aggregate liability arising out of or in connection with any service agreement shall be limited to the total annual contract value paid by the Client under the applicable service line.
7. Governing Law & Jurisdiction
These Terms & Conditions and all service contracts entered into with Naro Facility Management LLC shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the Dubai Courts.
